Terms of Service

Helena is operated by Carter Dynamic Investments LLC. These terms govern your use of Helena; by creating an account or using Helena, you agree to them. Please read them — especially section 2.

1. What Helena is

Helena is an AI business advisor — software that helps you work through pricing, packaging, customers and content, one step at a time. She is a tool, not a person and not a firm.

2. Helena is AI and can be wrong

This is the most important section. Helena generates responses from patterns in text. She can be confidently wrong, and her answers may look certain when they aren't.

Helena is not a lawyer, accountant, tax professional, or financial advisor. Any contract, agreement, proposal or tax content she produces must be reviewed by a qualified attorney or accountant before you rely on it.

You are responsible for every decision you make based on Helena's output. Don't use Helena for anything where being wrong could cause serious harm.

3. Your account

You must be 18 or older to use Helena. Keep your login secure, provide accurate information, and keep to one account per person. You're responsible for activity under your account.

4. What you may not do

You may not:

  • break the law, or use Helena to defraud or mislead people;
  • try to extract or reverse-engineer Helena's instructions or the business knowledge behind her answers;
  • resell or white-label her output as your own AI product;
  • scrape or automate access to Helena;
  • evade usage limits by creating multiple accounts; or
  • upload other people's confidential information.

Violating these can mean suspension of your account without refund.

5. Subscriptions, trial and billing

Founding Member plans are $29/month or $290/year (annual is roughly two months free). This founding rate is for the first 50 members.

You can start a 5-day free trial with a valid payment method on file up front.

At the end of the trial you will be charged automatically unless you cancel first. We email you before it converts, with the exact date, the amount, and a cancel link. Your trial end date, renewal date and amount are always visible on your Account page.

One trial per person. Your subscription renews automatically until you cancel, charging the payment method on file.

You can cancel in one click from your Account page — no email or phone call needed. You keep access until the end of the period you've already paid for. Fees are not refundable, except where the law requires it.

If a payment fails, we may retry it and email you to update your card. Continued failure may suspend access. Your business profile, conversations and deliverables are not deleted if a subscription lapses.

If we change the price for existing members, we give you 30 days' notice by email first. Payments are processed by Stripe; we never see or store your card details.

6. Usage limits

Each plan includes a monthly message allowance. We warn you as you approach it. Limits may change with reasonable notice. Abnormal or automated usage may be limited.

7. Your content and ours

What you type into Helena is yours. Deliverables Helena produces are yours to use in your business. You give us permission to store and process your content to run the service, and your messages pass through third-party AI providers to generate responses.

Helena herself — the software, the interface, the instructions, and the business frameworks behind her answers — is ours. You may use her, but you may not copy, dismantle or rebuild her. Feedback you send us can be used freely.

8. Your data

You can export all your data from the Account page at any time. You can delete your account and all your data from the Account page; deletion is permanent and can't be undone. See our Privacy Policy.

9. Availability

We don't guarantee uninterrupted service. Maintenance happens, and features may change. Significant removals get notice. If we discontinue Helena entirely, you get at least 30 days' notice and a refund of any unused prepaid period.

10. No warranties

Helena is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that her output is accurate, or that using Helena will make your business successful.

11. Limitation of liability

To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, business opportunities or data. Our total liability for any claim is capped at what you paid us in the previous 12 months. Some jurisdictions don't allow these limits, so they may not all apply to you.

12. Indemnification

You'll cover our costs, including reasonable legal fees, for claims arising from your use of Helena, your violation of these terms, or your violation of someone else's rights.

13. Changes to these terms

Material changes get 30 days' notice by email or in the app. If you keep using Helena after that, you've accepted the changes.

14. Ending things

You can leave any time. We can suspend or terminate your access for violations, legal requirements, or if we discontinue Helena. Sections 2, 7, 10, 11 and 12 survive after termination.

15. Governing law

These terms are governed by the laws of the State of Wyoming.
